RSP Connect Programme - Terms Of Use & Participation

1. General

RSP Connect is a voluntary registration process which is open to all interested RSPs. Every RSP who submits a registration to RSP Connect (hereinafter referred to as a "Participant") shall be deemed to have fully understood and accepted the terms hereinafter specified which shall govern the Participant's use of and participation in the RSP Connect programme.

2. No Binding Obligations and Liabilities on IDA

Nothing arising from or connected with a Participant's use of or participation in the RSP Connect programme shall create or impose any binding legal obligations whatsoever on IDA, whether express or implied. Without prejudice to the generality of the foregoing -

  1. IDA does not make any promises, commitments, representations or warranties to any Participant that it will proceed with any course of action, including pursuing or undertaking any project, initiative, policy or award of grant. In particular, a Participant's participation in the RSP Connect programme shall have no bearing on any future proposal submitted by the Participant in response to any subsequent calls for proposals (if any) that IDA may issue;

  2. Nothing in RSP Connect shall be construed as constituting an offer by IDA to any Participant regarding its participation in any aspect of the Next Generation National Broadband Project (NGNBN); and

  3. IDA makes no warranties relating to any aspect of the RSP Connect registration process and programme, and accepts no liabilities whatsoever for any Participant's reliance on any information contained in the RSP Connect website or for any Participant's use of or participation in the RSP Connect programme.

3. IDA's Rights of Administration

IDA reserves the right, in its absolute discretion and at any time, to cancel, add to or vary the information, structure, terms, timings, procedures, protocols and any other aspect of the RSP Connect registration process and programme (including the NGNBN projects referred to therein) and to determine the manner in which a Participant may use or participate in such process and programme. IDA shall not be obliged to provide any Participant with reasons for its actions or decisions. Without limitation, IDA may -

  1. require any Participant to clarify any matter relating to its registration or to provide such additional information as IDA deems necessary;

  2. refuse registration by any party or revoke any registration granted without giving any reasons for such refusal or revocation; and

  3. permit any party to register at any time and grant the registration thereof.

4. IDA's Right to Use and Publish Information Provided by Participants

IDA reserves the right to publish the names of Participants in the RSP Connect public register. Each Participant shall grant IDA a worldwide, irrevocable, non-exclusive right to use any information provided by the Participant pursuant to its registration, use of or participation in the RSP Connect programme, without any limit as to time and for all purposes. In this regard, IDA (and such external advisors and consultants as may be appointed by IDA) shall have the right to copy, adapt, disclose (including publication in any medium) and do anything in relation to the information provided by Participants as IDA deems necessary for the purposes of the RSP Connect Programme. Each Participant warrants and represents that the provision of any information by such Participant does not infringe the legal rights (including intellectual property rights) of any third party and is not in violation or breach of any law. For the avoidance of doubt, the intellectual property (including but not limited to patents, copyrights, trademarks and design rights) contained in the information provided by any Participant shall remain with the Participant and shall not be transferred to IDA.

5. Accuracy of Information

Each Participant represents and warrants that all information provided by the Participant shall be true and accurate at all relevant times. Participants must inform the NGNBN Project Director promptly in writing of any material change to any of the information it has provided to IDA, whether voluntarily or pursuant to IDA's requests for information or responses, and of any material change in circumstances which may affect the truth, completeness or accuracy of such information.

6. No Canvassing

No Participant shall approach the officers, employees, representatives, consultants or advisors of IDA with a view to providing any information for the purposes of supporting or enhancing the prospect of its registration.

7. Costs and Expenses to be Borne by Participants

IDA will not be responsible for any costs or expenses incurred by any Participant in connection with its use of and participation in the RSP Connect programme, including but not limited to costs and expenses of preparing and lodging responses to information requested by IDA.

8. Indemnity

Each Participant undertakes to indemnify IDA against all proceedings, costs, expenses, liabilities, loss or damage arising out of or in connection with the Participant's use of and participation in the RSP Connect programme.
